1. Introduction
Welcome to SmartHosp ("SmartHosp," "we," "us," or "our").
These Terms & Conditions ("Terms") govern your access to and use of the SmartHosp application, including its website, mobile application, software, features, services, dashboards, communications, and related functionality (collectively, the "Service").
SmartHosp is designed to support hospital communication, administration, coordination, information management, reporting, and operational workflows for authorized users.
The Service may be used by authorized personnel including Representatives, Managers, Chief Medical Officers (CMO), Medical Directors (MD), Chief Executive Officers (CEO), administrators, healthcare professionals, operational staff, and other authorized users.
By accessing or using SmartHosp, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
2. Eligibility and Authorized Use
SmartHosp is intended primarily for authorized hospital, healthcare, administrative, management, and organizational users.
You may use SmartHosp only if:
You are authorized to use the Service;
You provide accurate information when required;
You have the authority to accept these Terms;
You comply with applicable laws and regulations;
You comply with your hospital or organization's policies; and
You use the Service only for legitimate and authorized purposes.
If SmartHosp is provided to you by your employer, hospital, or healthcare organization, your access may be controlled by that organization.
Account RegistrationCertain SmartHosp features may require you to create or receive an account.
You agree to:
Provide accurate and complete information;
Keep your account information up to date;
Maintain the confidentiality of your login credentials;
Not share your account with another person;
Not allow unauthorized persons to use your account;
Notify SmartHosp or your organization's administrator if you suspect unauthorized access.
You are responsible for activity occurring through your account unless the activity resulted from circumstances outside your reasonable control.
4. Role-Based Access
SmartHosp may provide different features and levels of access depending on the user's role.
Roles may include:
Representative
Manager
CMO
MD
CEO
Administrator
Healthcare professional
Operations personnel
Other authorized roles Your access to information, reports, dashboards, communications, documents, and other features may depend on the permissions assigned to your account.
You must not attempt to access, modify, copy, download, or disclose information that you are not authorized to access.
SmartHosp and/or the relevant hospital or organization may modify, suspend, or revoke permissions when appropriate.
5. Hospital and Organizational
AdministrationWhere SmartHosp is provided to a hospital, healthcare organization, or employer, the organization may be responsible for:
Creating or approving user accounts;
Assigning user roles;
Managing permissions;
Determining which information users may access;
Configuring organizational features;
Managing internal policies;
Removing users who are no longer authorized.
The organization may also have administrative access to information associated with its SmartHosp environment, subject to applicable law and the organization's policies.
6. Permitted Use
You may use SmartHosp to:
Communicate with authorized personnel;
Manage authorized hospital workflows;
Access assigned dashboards and reports;
Manage tasks and operational activities;
Share authorized information;
Coordinate hospital operations;
Access information relevant to your assigned role;
Use other features made available by SmartHosp.
Your use must always be consistent with these Terms and applicable laws.
7. Prohibited Activities
You must not use SmartHosp to:
Access another person's account without authorization.
Attempt to bypass authentication or security controls.
Gain unauthorized access to systems, databases, or information.
Upload malicious software, viruses, or harmful code.
Interfere with or disrupt the Service.
Attempt to reverse engineer, decompile, or disassemble the application except where expressly permitted by applicable law.
Copy, reproduce, modify, or redistribute the Service without authorization.
Scrape or systematically collect information from the Service without authorization.
Use the Service for fraudulent, unlawful, abusive, or malicious purposes.
Upload content that violates applicable law.11. Upload information that you are not authorized to share.
Share confidential patient or hospital information with unauthorized individuals.
Impersonate another person or organization.
Use SmartHosp to harass, threaten, abuse, or discriminate against others.
Attempt to compromise the security or integrity of SmartHosp.
Use the Service to develop or operate an unauthorized competing service.
We reserve the right to investigate suspected violations and take appropriate action.
8. Patient and Healthcare Information
SmartHosp may be used in environments where confidential patient and healthcare information is processed.
Users must access and use such information only when they have appropriate authorization and a legitimate professional purpose.
Users must:
Maintain confidentiality;
Follow applicable hospital policies;
Follow applicable professional obligations;
Access only information necessary for their role;
Not disclose patient information to unauthorized persons;
Not use patient information for unauthorized personal purposes;
Report suspected unauthorized access or disclosure.
SmartHosp is a technology platform and does not independently determine whether a user is professionally authorized to access a particular patient's information. The relevant hospital or organization is responsible for establishing appropriate access policies and permissions.
9. Medical Disclaimer
SmartHosp is not a substitute for professional medical judgment or clinical care.
Information displayed through SmartHosp may support communication, coordination, administration, or operational activities, but users remain responsible for making professional and clinical decisions within the scope of their qualifications and responsibilities.
SmartHosp should not be relied upon as the sole source of information for emergency or critical medical decisions.
In an emergency, users should follow their organization's emergency procedures and contact appropriate emergency medical services.10. Accuracy of Information SmartHosp provides tools for storing, displaying, communicating, and managing information.
We do not guarantee that all information entered by users, hospitals, organizations, or third parties will always be:
Accurate;
Complete;
Current;
Error-free; or
Available at all times.
Users are responsible for verifying information before relying on it for important administrative, operational, or professional decisions.
11. User-Generated Content
Users may be permitted to upload or submit information, documents, messages, reports, comments, files, or other content ("User Content").
You remain responsible for User Content that you submit through SmartHosp.
By submitting User Content, you represent that:
You have the necessary authority to submit it;
The submission does not violate applicable law;
You are not knowingly submitting malicious content;
You are not violating another person's rights;
You have complied with applicable confidentiality requirements.
You must not upload confidential or sensitive information unless you are authorized to do so.
12. Ownership of SmartHosp
SmartHosp and its associated software, design, interface, branding, logos, features, documentation, and other materials are owned by or licensed to SmartHosp, except for content provided by users or third parties.
Unless expressly permitted by us, you may not:
Copy SmartHosp;
Reproduce its design;● Modify the software;
Distribute the software;
Sell or sublicense access;
Create derivative works;
Reverse engineer the Service;
Remove proprietary notices.
Your use of SmartHosp does not transfer ownership of the Service to you.
13. User Content and Organizational Data
Users and organizations may retain rights in information they submit to SmartHosp, subject to applicable agreements and law.
By using SmartHosp, you authorize us to process submitted information as reasonably necessary to:
Provide the Service;
Store information;
Display information to authorized users;
Process workflows;
Provide requested functionality;
Maintain security;
Provide technical support;
Comply with legal obligations.
Where an organization provides SmartHosp to its employees or personnel, ownership and control of organizational information may be governed by the organization's agreement with SmartHosp.
14. Privacy
Your use of SmartHosp is also subject to our Privacy Policy, which explains how information may be collected, used, stored, protected, and disclosed.
The Privacy Policy forms part of these Terms.
15. Security
We implement reasonable technical and organizational measures designed to protect the Service and information processed through it.
However, no technology or online service can be guaranteed to be completely secure.You acknowledge that:
Internet transmissions may involve security risks;
No system can guarantee absolute security;
You are responsible for protecting your credentials;
You must promptly report suspected security incidents.
16. Service Availability
We aim to keep SmartHosp available and reliable, but we do not guarantee uninterrupted or error-free operation.
The Service may occasionally be unavailable because of:
Maintenance;
Updates;
Technical problems;
Network failures;
Hosting issues;
Security incidents;
Third-party service failures;
Power or infrastructure failures;
Events beyond our reasonable control.
We may modify, suspend, or temporarily discontinue portions of the Service when reasonably necessary.
17. Updates and Changes to the Service
We may modify SmartHosp from time to time, including by:
Adding new features;
Removing features;
Updating the interface;
Improving security;
Changing technical infrastructure;
Updating workflows;
Fixing errors;
Introducing new functionality.
We may make such changes without prior notice where reasonably necessary.
Third-Party ServicesSmartHosp may use third-party services, integrations, software, hosting providers, communication systems, or other external technologies.
Third-party services may have separate terms and privacy policies.
SmartHosp is not responsible for third-party services that are independently operated and outside our reasonable control.
If a third-party service becomes unavailable, certain SmartHosp features may also be affected.
19. Fees and Payments
If SmartHosp is offered under a paid subscription, pricing, billing, payment terms, renewal terms, and cancellation conditions may be governed by a separate agreement, order form, subscription plan, or commercial contract.
Unless otherwise agreed in writing, applicable fees must be paid according to the agreed payment terms.
SmartHosp reserves the right to suspend paid services for overdue or unpaid amounts where permitted by the applicable agreement.
20. Suspension or Termination
We or the relevant hospital or organization may suspend or terminate your access to SmartHosp if:
You violate these Terms;
You engage in unauthorized activity;
Your account presents a security risk;
You misuse the Service;
You are no longer authorized by the organization;
Required by law;
Your organization's agreement ends;
Continued access could create a material risk to SmartHosp or others.
Upon termination, your right to access the Service may immediately end.
Certain provisions of these Terms may continue to apply after termination, including provisions concerning intellectual property, confidentiality, liability, and dispute resolution.21. Confidentiality Users may obtain access to confidential information belonging to hospitals, organizations, employees, patients, healthcare professionals, or other parties.
You agree to maintain the confidentiality of information you access through SmartHosp and to use such information only for authorized purposes.
Nothing in these Terms permits a user to disclose confidential information where such disclosure is prohibited by law, contract, professional obligations, or organizational policy.
22. Intellectual Property Rights
All intellectual property rights in SmartHosp, including software, trademarks, logos, designs, interfaces, documentation, and related materials, remain with SmartHosp or the applicable rights holder.
Nothing in these Terms grants you ownership of SmartHosp intellectual property.
The SmartHosp name, branding, logos, and related marks may not be used without appropriate authorization.
23. Feedback
If you provide suggestions, recommendations, comments, or other feedback about SmartHosp, you agree that we may use such feedback to improve the Service without creating an obligation to compensate you, unless otherwise agreed in writing.
You should not submit confidential information as part of feedback unless necessary and authorized.
24. Disclaimer of Warranties
To the maximum extent permitted by applicable law, SmartHosp is provided on an "as is" and "as available" basis.
We do not guarantee that:
SmartHosp will always be available;
The Service will be completely error-free;
All information will be accurate or complete;
The Service will meet every user's requirements;● Defects will always be corrected immediately;
The Service will be free from security vulnerabilities.
Nothing in these Terms excludes any warranty or right that cannot legally be excluded under applicable law.
25. Limitation of Liability
To the maximum extent permitted by applicable law, SmartHosp and its owners, officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of or inability to use the Service.
This may include, where legally permitted:
Loss of data;
Loss of profits;
Loss of business;
Loss of revenue;
Loss of goodwill;
Business interruption;
Consequential damages.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited under applicable law.
26. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless SmartHosp and its owners, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from:
Your violation of these Terms;
Your unauthorized use of SmartHosp;
Your violation of applicable law;
Your unauthorized disclosure of information;
Your User Content;
Your infringement of another person's rights.
This section applies only to the extent permitted by applicable law.
Force MajeureSmartHosp will not be responsible for delays or failures caused by circumstances beyond our reasonable control.
Such circumstances may include:
Natural disasters;
Floods;
Fires;
Earthquakes;
Severe weather;
War;
Terrorism;
Government action;
Internet or telecommunications failures;
Power failures;
Cyberattacks;
Infrastructure failures;
Third-party service failures;
Other events beyond reasonable control.
28. Governing Law
These Terms shall be governed by and interpreted in accordance with the applicable laws of India, except where mandatory applicable law provides otherwise.
Any dispute arising from or relating to SmartHosp or these Terms shall be subject to the jurisdiction of the courts having appropriate jurisdiction in Navi Mumbai, Maharashtra, India, unless applicable law requires otherwise.
29. Changes to These Terms
We may update these Terms from time to time.
When changes are made, the updated version will be published through the SmartHosp application, website, or another appropriate channel.
The "Last Updated" date at the beginning of these Terms indicates the date of the latest revision.
Your continued use of SmartHosp after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
SeverabilityIf any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable, where legally possible.
The remaining provisions will continue to remain in effect.
31. Entire Agreement
These Terms, together with the SmartHosp Privacy Policy and any applicable written agreement between SmartHosp and a hospital, organization, or customer, constitute the agreement governing your use of the Service, subject to any specific contractual terms that apply.
If there is a conflict between these Terms and a separate written agreement, the applicable written agreement may control to the extent specified in that agreement.

33. Acceptance of Terms
By accessing, registering for, or using SmartHosp, you acknowledge that:
You have read these Terms & Conditions;
You understand these Terms;
You agree to comply with these Terms;
You will use SmartHosp only for authorized purposes;
You will comply with applicable laws and regulations;
You will follow your organization's applicable policies;
You will protect confidential and sensitive information accessed through SmartHosp.
If you do not agree to these Terms, please do not access or use SmartHosp.
